Digital Sellers Academy™ Mini Apps Commercial Resell Rights License Terms

Effective Date: August 15, 2026

These Commercial Resell License Terms (“Terms”) govern the commercial resale rights granted to approved purchasers of Digital Sellers Academy™ Mini Apps (“Mini Apps,” “Apps,” “we,” “us,” or “our”).

By purchasing, accessing, or using the Digital Sellers Academy™ Mini Apps, you (“Licensee,” “Reseller,” “you,” or “your”) agree to these Terms.

1. What You Are Purchasing

Your purchase provides you with a limited Commercial Resell License to commercially sell authorized Digital Sellers Academy™ Mini Apps.

This license allows you to sell the individual Mini Apps to your customers for their own use.

You are not purchasing ownership of the Mini Apps or the underlying intellectual property.

The Commercial Resell License belongs only to you and may not be transferred, sold, assigned, sublicensed, or passed on to your customers.

2. Commercial Resale Rights Granted

Subject to these Terms, you may:

  • Sell Digital Sellers Academy™ Mini Apps commercially.
  • Sell individual Mini Apps to your customers.
  • Sell unlimited copies of the individual Mini Apps.
  • Market the Mini Apps through your own legitimate marketing channels.
  • Promote the Mini Apps through your website, social media, email marketing, content marketing, direct marketing, and other lawful marketing channels.
  • Set your own marketing strategy.
  • Charge your own retail price, subject to any pricing requirements expressly communicated by Digital Sellers Academy™.
  • Sell the Mini Apps as standalone digital products.
  • Use approved promotional materials provided by Digital Sellers Academy™ for the purpose of marketing the Mini Apps, where applicable.

3. Individual App Sales Only

Each Mini App must be sold individually.

You may sell as many copies of each individual Mini App as you wish, but you may not combine multiple Digital Sellers Academy™ Mini Apps into a single product bundle for resale.

For example:

Permitted:

  • Mini App A sold individually.
  • Mini App B sold individually.
  • Mini App C sold individually.
  • 100 separate sales of Mini App A.
  • 1,000 separate sales of Mini App B.

Not Permitted:

  • Mini App A + Mini App B sold together as one bundle.
  • Mini Apps A, B, and C packaged together as a “3-App Bundle.”
  • A collection containing multiple DSA Mini Apps sold as one product.
  • Combining multiple DSA Mini Apps into a new product for resale.

Unless Digital Sellers Academy™ gives you express written permission otherwise, one Mini App = one separately sold product.

4. Your Customer's Rights

When you sell an individual Mini App to a customer, your customer receives the right to use the Mini App for its intended purpose, subject to the applicable license terms.

Your customer does not receive your Commercial Resell License.

Your customer may not automatically resell, redistribute, sublicense, transfer, or commercially distribute the Mini App.

Your customer may use the Mini App, but the right to commercially resell the Mini App remains exclusively with the original licensed Reseller unless Digital Sellers Academy™ separately grants that customer a Commercial Resell License.

5. No Passing Resell Rights to Customers

You may not pass your Commercial Resell Rights to your customers.

You may sell the Mini App to your customers, but your customers do not receive the right to sell the Mini App to their own customers.

You may not:

  • Give your customer Commercial Resell Rights.
  • Tell your customer that they can resell the Mini App.
  • Include resale rights with your sale.
  • Sublicense the Mini App.
  • Transfer your Commercial Resell License.
  • Create a reseller chain in which your customers resell the Mini Apps.
  • Authorize another person or business to act as a reseller on your behalf.

Your license ends with the authorized resale transaction. Your customer receives the product, not your reseller license.

6. No Transfer or Sublicensing

The Commercial Resell License is personal to the purchaser.

You may not:

  • Sell your license.
  • Transfer your license.
  • Gift your license.
  • Assign your license to another person or business.
  • Sublicense your license.
  • Allow another person to exercise your reseller rights.
  • Give another business permission to resell the Mini Apps under your license.

You may sell the Mini Apps to customers, but you may not transfer the rights granted to you under these Terms.

7. No Repackaging Into Bundles

You may not package multiple Digital Sellers Academy™ Mini Apps together and market them as a single product.

You may not create:

  • Multi-App bundles.
  • App collections.
  • App packs.
  • “All Apps” packages.
  • “Ultimate App Bundles.”
  • Membership packages containing multiple DSA Mini Apps.
  • Any other product in which two or more DSA Mini Apps are combined and sold as one product.

Each Mini App must remain an individually identifiable and separately sold product.

8. No Rebranding or Ownership Claims

Unless expressly stated otherwise for a particular Mini App, the original Digital Sellers Academy™ branding, attribution, intellectual property, and ownership rights remain with Digital Sellers Academy™ and/or its respective owners.

You may not:

  • Claim that you created the Mini Apps.
  • Claim ownership of the Mini Apps.
  • Register the Mini Apps as your own intellectual property.
  • Remove required ownership notices.
  • Misrepresent your relationship with Digital Sellers Academy™.
  • Present the Mini Apps as products you personally created.

Your commercial resale rights do not constitute ownership rights.

9. Modification of the Mini Apps

Unless expressly authorized in writing, you may not modify, reverse engineer, reproduce, recreate, or substantially alter the underlying Mini Apps for the purpose of creating a competing product.

You may market and commercially sell the Mini Apps as authorized, but you may not use the Mini Apps as source material to create a substantially similar competing product.

10. Distribution Restrictions

You may sell authorized copies of the individual Mini Apps to customers.

However, you may not distribute the Mini Apps in a manner that allows unauthorized people to obtain them without a legitimate purchase.

You may not:

  • Upload the Mini Apps to public download sites.
  • Publish the Mini Apps for free download.
  • Share paid copies through file-sharing platforms.
  • Make the Mini Apps available through unauthorized membership libraries.
  • Give away copies in a manner that bypasses an authorized purchase.
  • Use the Mini Apps as free downloadable lead magnets unless expressly authorized.

11. Marketing Rights

You may market the individual Mini Apps using your own marketing strategy.

You may create your own:

  • Social media posts.
  • Marketing content.
  • Emails.
  • Sales pages.
  • Advertisements.
  • Demonstrations.
  • Promotional campaigns.

Your marketing must accurately represent the Mini Apps and your relationship with Digital Sellers Academy™.

You may not make false, misleading, deceptive, or unsupported claims about the Mini Apps.

12. Pricing

Unless Digital Sellers Academy™ provides specific pricing requirements, you may determine your own retail pricing for the individual Mini Apps.

You are responsible for ensuring that your pricing, promotions, discounts, and sales practices comply with applicable laws and platform policies.

Digital Sellers Academy™ reserves the right to establish pricing or promotional requirements when necessary.

13. No Guaranteed Results

Digital Sellers Academy™ does not guarantee that you will make money by commercially reselling the Mini Apps.

Your results depend on factors including your marketing, audience, pricing, sales ability, effort, business decisions, market conditions, and other factors outside our control.

You may not represent that purchasing or reselling the Mini Apps guarantees a specific level of income or business success.

14. Intellectual Property

All intellectual property rights associated with the Digital Sellers Academy™ Mini Apps remain with Digital Sellers Academy™ and/or their respective owners.

This includes, where applicable:

  • Software.
  • Code.
  • Designs.
  • Graphics.
  • Content.
  • Templates.
  • Branding.
  • Trademarks.
  • Logos.
  • Documentation.
  • User interfaces.
  • Other proprietary materials.

The Commercial Resell License grants you permission to commercially resell authorized individual Mini Apps. It does not transfer ownership of any intellectual property.

15. Customer Use

Your customers may use the Mini App they legitimately purchase for its intended purpose.

Unless they separately obtain written commercial resale rights from Digital Sellers Academy™, your customers may not:

  • Resell the Mini App.
  • Redistribute the Mini App.
  • Sublicense the Mini App.
  • Transfer the Mini App for commercial resale.
  • Include the Mini App in a product bundle.
  • Give the Mini App away for commercial lead generation.
  • Claim ownership of the Mini App.
  • Use the Mini App to create a competing product.

16. Your Responsibility as a Reseller

You are responsible for:

  • Your marketing.
  • Your sales activities.
  • Your customer communications.
  • Your advertising.
  • Your compliance with applicable laws.
  • Your compliance with platform rules.
  • Your tax obligations.
  • Your representations about the Mini Apps.

You may not represent yourself as an owner, creator, employee, partner, or agent of Digital Sellers Academy™ unless expressly authorized in writing.

You may identify yourself as an authorized commercial reseller of the Mini Apps.

17. Platform and Third-Party Requirements

If you sell or promote the Mini Apps through third-party platforms, you are responsible for complying with those platforms' applicable terms, policies, and requirements.

Digital Sellers Academy™ is not responsible for restrictions imposed by third-party platforms.

18. License Termination

Digital Sellers Academy™ reserves the right to suspend or terminate your Commercial Resell License if you materially violate these Terms.

Upon termination, you must immediately stop making new commercial sales of the Mini Apps under this license.

You must also stop representing yourself as an authorized commercial reseller.

Termination does not transfer ownership of the Mini Apps or their intellectual property to you.

19. Examples of Permitted and Prohibited Sales

Permitted

You purchase Mini App A with Commercial Resell Rights.

You may sell:

  • Mini App A to Customer 1.
  • Mini App A to Customer 2.
  • Mini App A to Customer 3.
  • Mini App A to 100, 1,000, or more customers.

You may also separately sell Mini App B, Mini App C, and other authorized Mini Apps.

Not Permitted

You may not:

  • Sell Mini App A + Mini App B as one bundle.
  • Sell Mini Apps A, B, C, and D as an “Ultimate Bundle.”
  • Give Customer 1 the right to resell Mini App A.
  • Transfer your Commercial Resell License to Customer 1.
  • Allow Customer 1 to become a reseller under your license.
  • Upload Mini App A somewhere for unrestricted public download.
  • Claim that you created Mini App A.

20. No Reseller-of-a-Reseller Structure

The Commercial Resell License is designed for direct commercial resale by the original license holder.

It does not create a multi-level resale structure.

Your customer purchases the Mini App for use. Your customer does not automatically become your reseller.

Only a person or business that has separately obtained valid Commercial Resell Rights directly from Digital Sellers Academy™ may commercially resell the Mini Apps.

21. Changes to the Mini Apps

Digital Sellers Academy™ may update, improve, replace, discontinue, or modify Mini Apps from time to time.

We may update:

  • Features.
  • Functionality.
  • Designs.
  • Technology.
  • Documentation.
  • Branding.
  • Compatibility.
  • Delivery methods.

Your Commercial Resell License applies to the Mini Apps made available to you under the applicable license program and does not give you ownership or control over future versions.

22. Acceptance of These Terms

By purchasing, accessing, downloading, using, or commercially reselling a Digital Sellers Academy™ Mini App, you acknowledge that you have read, understood, and agreed to these Commercial Resell License Terms.

If you do not agree to these Terms, you may not exercise the Commercial Resell Rights granted under this license.
