Digital Sellers Academy™ Course Master Resell Rights License Terms

Effective Date: August 15, 2026

These Master Resell Rights License Terms (“Terms”) govern the Master Resell Rights (“MRR”) granted to approved purchasers of Digital Sellers Academy™ (“Academy,” “we,” “us,” or “our”).

By purchasing, receiving, accessing, or exercising the MRR rights associated with Digital Sellers Academy™, you (“Reseller,” “you,” or “your”) agree to these Terms.

1. What You Are Purchasing

Your purchase gives you a Master Resell Rights license to market and resell authorized access to Digital Sellers Academy™.

You are purchasing a license to resell access to the Academy, not ownership of the Academy, its course content, intellectual property, branding, or business.

The Academy is hosted and delivered through the official Digital Sellers Academy™ Skool community.

Your customers will access the Academy through the official Digital Sellers Academy™ Skool community rather than receiving a separate downloadable or transferable copy of the course.

2. Rights Granted to You

Subject to these Terms, you are granted a limited, non-exclusive, non-transferable right to:

You MAY:

  1. Resell access to Digital Sellers Academy™ to your own customers.

  2. Market Digital Sellers Academy™ to potential customers through your own marketing channels.

  3. Promote the Academy through channels such as:

    • Social media

    • Email marketing

    • Websites and landing pages

    • Content marketing

    • Direct messages

    • Organic marketing

    • Paid advertising, where permitted by the applicable platform and advertising policies

    • Other legitimate marketing methods

  4. Use your own marketing strategy to attract potential customers, provided that your marketing is truthful and does not violate these Terms or applicable laws.

  5. Earn revenue from authorized sales of Digital Sellers Academy™ according to the applicable pricing, payment, refund, and reseller policies in effect at the time of the sale.

  6. Identify yourself as an authorized reseller of Digital Sellers Academy™.

  7. Explain to potential customers that Digital Sellers Academy™ includes Master Resell Rights, where applicable and accurately described.

  8. Direct your customers to the official Digital Sellers Academy™ Skool community for access to the course and community.

  9. Use any promotional materials, graphics, descriptions, links, or other marketing assets that Digital Sellers Academy™ specifically provides for reseller use, subject to any instructions or restrictions associated with those materials.

  10. Build your own audience and marketing business around the authorized promotion and sale of Digital Sellers Academy™.

3. How Customer Access Works

All customers purchasing Digital Sellers Academy™ through an authorized reseller must receive access through the official Digital Sellers Academy™ Skool community.

The customer does not receive ownership of the course.

The customer does not receive a downloadable master copy of the course.

The customer does not receive the right to independently host or distribute the course.

The course remains hosted and controlled by Digital Sellers Academy™.

We reserve the right to establish and manage the Academy's access process, membership requirements, community rules, onboarding procedures, and other operational requirements.

4. Your Customer's Rights

When you make an authorized sale, your customer receives the access and rights specifically offered by Digital Sellers Academy™ at the time of purchase.

Unless expressly stated otherwise in writing, your customer does not automatically receive the right to:

  • Modify the Academy
  • Rebrand the Academy
  • Rename the Academy
  • Claim ownership of the Academy
  • Copy the course
  • Download and redistribute the course
  • Host the course elsewhere
  • Sell copies of the course
  • Transfer the course outside the official Academy
  • Grant other people unauthorized access
  • Create a competing version using Academy content

Your customer is required to comply with the applicable Digital Sellers Academy™ terms, policies, and community rules.

5. No Rebranding Rights

Digital Sellers Academy™ must remain Digital Sellers Academy™.

Your MRR license does not give you the right to rebrand the Academy.

You may not:

  • Change the name of Digital Sellers Academy™
  • Replace the Digital Sellers Academy™ branding
  • Remove Academy branding from the course
  • Claim the Academy was created by you
  • Present the Academy as your own course
  • Alter the Academy's curriculum
  • Rewrite or substantially modify Academy lessons
  • Edit Academy videos or other course materials
  • Replace the Academy's trademarks or logos
  • Create a substantially similar version of the Academy and present it as the original Academy

You are an authorized reseller, not the owner or creator of Digital Sellers Academy™.

6. No Transfer of Ownership

Nothing in these Terms transfers ownership of Digital Sellers Academy™, its course, content, curriculum, community, trademarks, branding, materials, or intellectual property to you.

Your MRR license is a limited permission to resell authorized access.

You do not acquire ownership of:

  • The Academy
  • The course
  • Course videos
  • Written lessons
  • Curriculum
  • Worksheets
  • Templates
  • Graphics
  • Trademarks
  • Logos
  • Branding
  • Community content
  • Other intellectual property belonging to Digital Sellers Academy™

7. Intellectual Property

All intellectual property associated with Digital Sellers Academy™ remains the property of Digital Sellers Academy™ and/or its respective owners.

You agree not to challenge, interfere with, or misrepresent our ownership or rights in the Academy.

You may use the Academy's name and approved branding solely to accurately identify and market the Academy as an authorized reseller.

Any use of Academy branding must comply with any brand guidelines or instructions we provide.

8. Prohibited Activities

You may not:

  1. Copy or reproduce the Academy or its content.

  2. Download, record, reproduce, or redistribute Academy lessons, videos, or other protected content except where expressly authorized.

  3. Upload Academy content to another website, course platform, membership platform, cloud storage service, social media platform, marketplace, or other location for unauthorized distribution.

  4. Sell downloadable copies of the Academy.

  5. Sell individual course videos, lessons, modules, templates, or other Academy materials separately unless expressly authorized.

  6. Share your personal Skool login or membership credentials.

  7. Allow unauthorized individuals to use your account.

  8. Create unauthorized accounts for other people.

  9. Rebrand or rename Digital Sellers Academy™.

  10. Claim that you created, own, or operate Digital Sellers Academy™ unless you have received express written authorization.

  11. Sell or transfer your MRR license to another person.

  12. Sublicense your MRR rights.

  13. Give another person permission to exercise your MRR rights.

  14. Create derivative products using Academy content without written permission.

  15. Use Academy content to create a competing course or membership.

  16. Make false, deceptive, or misleading claims about Digital Sellers Academy™.

  17. Make guaranteed income claims.

  18. Misrepresent potential earnings or results.

  19. Use spam, fraud, deceptive advertising, or other unlawful marketing practices to promote the Academy.

  20. Use the Digital Sellers Academy™ brand in a manner that could reasonably cause customers to believe you own or operate the Academy when you do not.

9. Your Marketing

You are responsible for your own marketing activities.

Your marketing must be truthful, accurate, and compliant with applicable laws, advertising requirements, platform rules, and these Terms.

You may promote the Academy using your own messaging and marketing style, provided that you do not misrepresent the Academy or your relationship with it.

You may not promise specific financial results unless expressly authorized and supported by appropriate evidence.

Examples of possible outcomes, earnings, or customer results should never be presented as guaranteed.

10. Pricing and Promotions

The price at which Digital Sellers Academy™ may be sold may be subject to pricing policies established by Digital Sellers Academy™.

We reserve the right to establish, change, or discontinue:

  • Recommended pricing
  • Minimum advertised pricing
  • Promotional pricing
  • Discounts
  • Coupon policies
  • Reseller promotions
  • Special offers

You agree to comply with any applicable pricing or promotional policies communicated to you.

11. Payments, Refunds, and Customer Transactions

Unless otherwise specified by Digital Sellers Academy™, you are responsible for understanding and complying with the payment, refund, and customer-service requirements applicable to your sales.

You must not make promises regarding refunds, guarantees, bonuses, access, or other terms that conflict with the official Digital Sellers Academy™ policies.

If Digital Sellers Academy™ processes the customer's payment and provides the customer's Academy access directly, the applicable official payment and refund policies will govern that transaction.

12. Customer Access and Community Rules

All customers are subject to the Digital Sellers Academy™ community rules and applicable terms.

We reserve the right to suspend or terminate access to the Academy where permitted under the applicable terms, including for:

  • Abuse
  • Fraud
  • Unauthorized sharing
  • Unauthorized distribution
  • Harassment
  • Misconduct
  • Violation of community rules
  • Violation of these Terms
  • Violation of applicable law

Termination or suspension of access does not give the affected person the right to obtain or distribute copies of Academy content.

13. No Guaranteed Income

Digital Sellers Academy™ does not guarantee that you will earn money by reselling access to the Academy.

Your results depend on numerous factors, including your skills, effort, marketing, audience, sales ability, business decisions, market conditions, and other factors outside our control.

Any income examples, testimonials, case studies, or success stories are illustrative and are not guarantees of future results.

14. Your Responsibility as a Reseller

You are responsible for:

  • Your own marketing
  • Your own advertising
  • Your representations to potential customers
  • Your compliance with applicable laws
  • Your compliance with advertising and social-media policies
  • Your customer communications
  • Your taxes and business obligations
  • Any website, payment processor, advertising account, or other service you use

Digital Sellers Academy™ is not responsible for your independent business activities.

15. No Partnership or Employment Relationship

Your MRR license does not create a partnership, joint venture, employment relationship, franchise relationship, agency relationship, or other formal business relationship between you and Digital Sellers Academy™ unless separately agreed in writing.

You are an independent reseller.

Being an authorized reseller does not authorize you to enter into contracts on behalf of Digital Sellers Academy™, make commitments on our behalf, or represent that you have authority to act as our agent.

16. MRR License Is Not Transferable

Your MRR rights are granted specifically to you.

You may not:

  • Sell your MRR license
  • Transfer your MRR license
  • Gift your MRR license
  • Sublicense your MRR license
  • Assign your MRR license to another business or person
  • Allow another person to use your MRR rights

You may resell authorized access to Digital Sellers Academy™, but you may not sell or transfer the underlying MRR license itself.

17. Academy Updates and Changes

Digital Sellers Academy™ may be updated, improved, reorganized, expanded, or modified from time to time.

We may change:

  • Course content
  • Lessons
  • Curriculum
  • Community features
  • Branding
  • Platform features
  • Access procedures
  • Pricing
  • Bonuses
  • Resources
  • Other Academy features

Your MRR rights apply to the version of the Academy that we make available under the applicable reseller program.

MRR does not give you control over future changes to the Academy.

18. Platform Requirements

Because Digital Sellers Academy™ is hosted through Skool, you and your customers must comply with the applicable Skool terms, policies, and requirements.

We may change the Academy's delivery method or platform if reasonably necessary for operational, business, technical, legal, or other reasons.

If the Academy's delivery platform changes, your MRR rights will continue only to the extent and in the manner determined by Digital Sellers Academy™.

19. Violation of These Terms

If you violate these Terms, we may take appropriate action, including:

  • Warning you
  • Requiring you to correct the violation
  • Suspending your reseller privileges
  • Suspending your Academy access
  • Terminating your MRR rights
  • Removing unauthorized content
  • Restricting or terminating customer access where appropriate
  • Pursuing other remedies available under applicable law
  • Serious violations may result in immediate termination.

20. Termination of MRR Rights

We reserve the right to terminate your MRR license if you materially violate these Terms.

Upon termination, you must immediately:

  • Stop representing yourself as an authorized reseller
  • Stop making new sales of Digital Sellers Academy™
  • Stop using any reseller-only promotional materials
  • Stop using Academy branding except where otherwise authorized
  • Stop exercising your MRR rights
  • Termination does not transfer ownership of any Academy content to you.

21. Survival of Intellectual Property Restrictions

The provisions relating to intellectual property, unauthorized distribution, confidentiality where applicable, ownership, and restrictions on copying or rebranding will continue to apply after termination to the extent permitted by applicable law.

22. Changes to These Terms

Digital Sellers Academy™ may update these Terms from time to time.

Where appropriate, updated Terms may be communicated through the Academy, email, website, or other reasonable means.

Your continued exercise of MRR rights after an effective update may constitute acceptance of the updated Terms to the extent permitted by applicable law.

23. Entire Agreement

These Terms, together with any additional terms, policies, or written agreements specifically incorporated by reference, constitute the agreement governing your MRR rights to Digital Sellers Academy™.

If there is a conflict between these Terms and a separate written agreement signed by Digital Sellers Academy™, the signed written agreement will control to the extent of the conflict.

24. Acceptance

By purchasing, accessing, or exercising Master Resell Rights to Digital Sellers Academy™, you acknowledge that you:

  • Have read these Terms
  • Understand the rights being granted
  • Understand the restrictions on those rights
  • Agree to comply with these Terms
  • Understand that you are purchasing resale rights, not ownership of the Academy
